End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and SuriBill ("Licensor," "we," "us," or "our") for the SuriBill mobile application software ("App") and any updates, documentation, or related materials provided with it.

By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not install or use the App.

Subject to your compliance with this EULA and our Terms of Service, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the App on a mobile device that you own or control, solely for your personal, non-commercial use.

The App is licensed, not sold. SuriBill and its licensors retain all right, title, and interest in and to the App, including all intellectual property rights. User Content you upload remains yours, subject to the license granted in our Terms of Service.

4. App store terms

If you obtained the App through Apple App Store or Google Play, your use is also subject to that store's terms. This EULA is between you and SuriBill only — not Apple or Google. Apple and Google are third-party beneficiaries of this EULA with respect to their respective platforms and may enforce it against you as permitted by their terms.

For App Store downloads: Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App to conform to an applicable warranty, you may notify Apple for a refund of the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.

5. Updates and changes

We may provide updates, patches, or modifications to the App. Updates may be installed automatically or require manual action. Some updates may be required to continue using the App. We may change or discontinue features at any time.

6. Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PARSED BILL DATA WILL BE ACCURATE OR COMPLETE.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SURIBILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.

OUR TOTAL LIABILITY UNDER THIS EULA WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100).

8. Termination

This EULA is effective until terminated. Your rights under this EULA terminate automatically if you fail to comply with its terms. Upon termination, you must cease use of the App and delete all copies from your devices. Sections that by their nature should survive will survive termination.

9. Export compliance

You agree to comply with all applicable export control and sanctions laws. You may not use or export the App except as authorized by applicable law.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into this EULA by reference.

11. Governing law

This EULA is governed by the laws of the Republic of the Philippines. Disputes will be subject to the exclusive jurisdiction of the courts of Davao City, Philippines, unless mandatory consumer protection laws provide otherwise.

12. Entire agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and SuriBill regarding the App and supersedes prior agreements on the subject.
